Terms of Service

1. Acceptance of Terms

By accessing or using the website pallets-used.com ("the Website") or engaging in any business transaction with GreenCycle Pallets ("the Company," "we," "us," or "our"), you ("the Customer," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use our Website or services.

These Terms apply to all visitors, customers, and others who access or use our Website and services. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

We reserve the right to modify these Terms at any time. Material changes will be posted on this page with an updated effective date. Your continued use of our Website or services after any changes constitutes acceptance of the revised Terms.

2. Description of Services

GreenCycle Pallets provides the following services in Sunnyvale, California and the surrounding Bay Area region:

Pallet Sales: We sell new, used, and refurbished pallets in various sizes, grades, and materials, including wood, plastic, metal, and composite pallets. Product availability is subject to current inventory levels.

Pallet Buying: We purchase used pallets from businesses and individuals. Buyback pricing is determined based on pallet condition, size, quantity, and current market conditions. All buyback quotes are valid for 7 business days unless otherwise stated.

Pallet Recycling: We accept pallets for recycling, including pallets that are damaged beyond repair. Recycling services may be provided at no charge or for a fee depending on pallet condition and volume.

Pallet Repair: We offer repair and refurbishment services to restore damaged pallets to usable condition. Repair pricing is quoted on a per-pallet basis after inspection.

Heat Treatment: We provide ISPM-15 compliant heat treatment services for pallets intended for international export. Heat treatment is performed at our certified facility in Sunnyvale.

Delivery and Pickup: We offer delivery and pickup services throughout the San Francisco Bay Area area and beyond. Delivery terms and fees are specified at the time of order.

Custom Pallets: We manufacture custom pallets to customer specifications. Custom orders require a minimum order quantity and are subject to lead times communicated at the time of quote.

3. Orders and Pricing

Quotes and Pricing: All prices are quoted in U.S. dollars and are exclusive of applicable taxes, delivery fees, and any additional service charges unless otherwise stated. Quotes are valid for 7 business days from the date of issue. Pricing for used pallets may fluctuate based on market conditions, supply, and demand.

Order Confirmation: An order is considered confirmed when: (a) we have provided a written quote or order confirmation via email, and (b) the Customer has accepted the quote verbally, in writing, or by making payment. Verbal orders placed by authorized representatives of the Customer are binding.

Payment Terms: For new customers, payment is due upon delivery or pickup (COD) unless credit terms have been pre-arranged. Established customers may qualify for Net 15 or Net 30 payment terms based on credit assessment. We accept payment by check, ACH transfer, wire transfer, and major credit cards. A service charge of 1.5% per month (18% per annum) will be applied to past-due balances.

Minimum Orders: Standard pallet orders have a minimum of 10 units for delivery. Custom pallet orders require a minimum of 25 units. There is no minimum for customer pickup at our Sunnyvale facility.

Price Adjustments: We reserve the right to adjust pricing on unconfirmed quotes. For confirmed orders, pricing is locked for the quantity and specifications agreed upon. Additional quantities beyond the original order may be priced at current rates.

4. Delivery and Pickup

Delivery Area: Our standard delivery area covers the San Francisco Bay Area, including Mountain View, Santa Clara, Cupertino, Milpitas, Palo Alto, Fremont, San Jose, Redwood City, and San Mateo, CA. Extended delivery to Sacramento, Stockton, and other Bay Area locations is available on a scheduled basis.

Delivery Scheduling: Delivery dates and times are estimates and not guaranteed. We make every reasonable effort to meet scheduled delivery windows. Deliveries are typically made within 1–3 business days of order confirmation. Same-day delivery may be available for in-stock items ordered before 11:00 AM.

Delivery Fees: Delivery fees are based on distance, order size, and any special requirements (e.g., liftgate service, inside delivery). Delivery fees are communicated at the time of quote and are in addition to product pricing. Orders above certain thresholds may qualify for free delivery within our standard service area.

Receiving Responsibility: The Customer is responsible for providing adequate access for delivery vehicles, including sufficient clearance for flatbed trucks and forklifts. The Customer or an authorized representative must be present to receive delivery and inspect the order. Any damage or discrepancies must be noted at the time of delivery.

Risk of Loss: Title and risk of loss for products pass to the Customer upon delivery to the Customer's designated location or upon pickup from our facility.

5. Returns and Disputes

Inspection Period: The Customer has 48 hours from the time of delivery or pickup to inspect the pallets and report any defects, damage, or discrepancies. Claims made after the 48-hour inspection period may not be honored.

Defective Products: If pallets are found to be defective or not conforming to the agreed-upon grade and specifications, the Customer must notify us within the 48-hour inspection period. We will, at our discretion, replace the defective pallets, repair them, or issue a credit or refund for the affected units.

Returns: Returns of non-defective pallets are accepted within 7 business days of delivery, provided the pallets are in the same condition as delivered and the Customer has obtained prior authorization. A restocking fee of 15% may apply to returned non-defective pallets. The Customer is responsible for return shipping costs unless the return is due to our error.

Dispute Resolution: In the event of a dispute regarding quality, quantity, or pricing, both parties agree to make a good-faith effort to resolve the matter through direct communication. If a resolution cannot be reached, the dispute will be resolved in accordance with the Governing Law section of these Terms.

6. Limitation of Liability

To the maximum extent permitted by applicable law, GreenCycle Pallets shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising out of or related to the use of our products or services, regardless of the theory of liability.

Our total liability for any claim arising out of or related to these Terms or our products and services shall not exceed the amount paid by the Customer for the specific products or services giving rise to the claim.

We are not liable for any damages arising from: (a) improper use, storage, or handling of pallets by the Customer; (b) modifications made to pallets after delivery; (c) use of pallets beyond their rated load capacity; (d) normal wear and tear; (e) events beyond our reasonable control, including but not limited to natural disasters, fire, flood, pandemic, labor disputes, or government actions.

The Customer assumes all responsibility for ensuring that the pallets purchased are suitable for their intended use. We recommend consulting with our team regarding load capacity, grade selection, and compliance requirements for specific applications.

7. Warranty

Used Pallets: Used pallets are sold "as-is" within the grade classification described at the time of sale (Grade A, B, or C). We warrant that used pallets will conform to the stated grade specifications at the time of delivery. This warranty does not cover damage occurring after delivery or normal wear from use.

Repaired Pallets: Pallets repaired by GreenCycle Pallets carry a 30-day warranty against defects in our repair work. If a repaired component fails under normal use within 30 days, we will re-repair or replace the pallet at no charge.

Custom Pallets: Custom-built pallets carry a 90-day warranty against defects in materials and workmanship under normal use conditions. This warranty does not cover damage from overloading, improper handling, or use outside the specified parameters.

Heat Treatment: We warrant that heat-treated pallets have been processed in accordance with ISPM-15 requirements at the time of treatment. We provide appropriate documentation and stamps for treated pallets. We are not responsible for customs or regulatory actions in destination countries.

Disclaimer: EXCEPT AS EXPRESSLY STATED IN THESE TERMS, WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8. Indemnification

The Customer agrees to indemnify, defend, and hold harmless GreenCycle Pallets, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) the Customer's use of our products or services; (b) the Customer's violation of these Terms; (c) the Customer's violation of any applicable law or regulation; or (d) any claim by a third party related to the Customer's use of our products.

9. Intellectual Property

All content on the pallets-used.com website, including text, graphics, logos, images, and software, is the property of GreenCycle Pallets or its content suppliers and is protected by United States and international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content on this website without our prior written consent.

10. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of California, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or related to these Terms shall be brought exclusively in the state or federal courts located in Middlesex County, California, and you consent to the personal jurisdiction of such courts.

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

11. Force Majeure

Neither party shall be liable for any failure or delay in performance under these Terms due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, fire, flood, earthquake, pandemic, epidemic, government actions, war, terrorism, labor disputes, supply chain disruptions, or transportation failures. The affected party shall promptly notify the other party of the force majeure event and make reasonable efforts to mitigate its effects.
